Rockwell One Holdings, LLC

Alleged to be a Delaware LLC that “holds title to and/or leases the real property and improvements located at 1475 South Davis Road, LaGrange” and is the borrower under the construction loan on the facility. (¶15.) Named in the promissory-fraud, conversion, and contract counts, among others. The recorded loan instruments naming the facility are indexed on the Public Records page.

RemTML, LLC

Alleged to be a Delaware LLC that “holds the firearms-manufacturing license utilized by the enterprise at the LaGrange Manufacturing Facility.” (¶19.)

REM EQ Holdings, LLC (“RemEQ”)

Alleged to be an entity in the holding-company structure that “holds or has held equipment used at” the LaGrange facility. (¶18.)

“REMMA” (pleaded as ABC Corp.) and “RemFA” (pleaded as DEF Corp.)

Alleged to be entities in the overall holding-company structure governing the enterprise. Their legal names, jurisdictions, and roles are not documented in the record available to this site. (¶¶16–17.)

“SIFT” (pleaded as GHI Corp.)

Alleged to hold the senior secured creditor position against RemArms in the approximate amount of $20,000,000. The complaint alleges — based on admissions it attributes to Scott Soura — that Soura is SIFT’s de facto principal, and pleads the position as “a self-dealing security interest subject to equitable subordination” and avoidance under the Georgia Uniform Voidable Transactions Act. (¶20, §IV.F.) These are unproven allegations.

“Western Rock” (pleaded as JKL Corp.)

Alleged to hold a second-lien secured position of approximately $10,000,000 against RemArms, on the same alleged self-dealing basis as SIFT. (¶21.)

John Does 1–10

Presently unknown persons and entities, including alleged co-conspirators, nominal transferees, and aiders and abettors, whom plaintiffs reserve the right to identify in discovery. (¶22.)

What Would Resolve These Questions

The actual ownership, structure, and inter-relationships of these entities are precisely what the litigation’s discovery process exists to establish. This site will update these profiles — including replacing placeholder designations with legal names — as the public record develops.
