Ken D’Arcy

Identification

According to the Verified Complaint, Ken D’Arcy is, upon information and belief, a citizen of Canada and a resident of Texas who “at all relevant times held himself out as Chief Executive Officer of RemArms, LLC and the Remington firearms business.” (Verified Complaint ¶12.) He has served as the company’s chief executive since the Roundhill acquisition era and has been its most visible public spokesperson.

Public Statements of Record

In the official Office of the Governor of Georgia press release of November 8, 2021 (Exhibit A to the Verified Complaint), D’Arcy is quoted:

“We are very excited to come to Georgia, a state that not only welcomes business but enthusiastically supports and welcomes companies in the firearms industry.”

The announcement accompanied the publicly stated commitment of approximately 856 jobs over five years in Troup County and the establishment of a global headquarters in LaGrange. (¶¶26–26-A.)

Principal Allegations

Among the allegations directed at D’Arcy — each an unproven claim of the plaintiffs:

• The 856-job representation. That D’Arcy personally participated in public representations to the State of Georgia and the LaGrange community supporting economic-development incentives, which plaintiffs allege were materially inconsistent with the internal “simplified manufacturing” plan he allegedly co-presented to Ripley in mid-2025 projecting a workforce below 200. (¶¶26-A–30.)
• The closing signature. That during the failed transaction, plaintiffs were asked to accept D’Arcy’s bare signature on closing documents without documentation of his authority to sign for the operating entity. (¶3.)
• Named counts. D’Arcy is named in Counts I, II, VII, and the counts pleaded against all defendants, including the Georgia RICO count. (§V.)

Other Litigation of Record

The Verified Complaint notes that D’Arcy “has been previously named as a defendant in pending Troup County actions including Accuwright Mechanical v. RemArms et al.” (¶12.)
