Biography
Christopher B. Ripley is a citizen of Texas. According to the Verified Complaint, his involvement in the firearms industry long predates the events at issue: he is described as a former National Champion All-American competitive shooter, a holder of NRA Junior Achievement medals and a world championship cup awarded within the past five years, and, from approximately 2012 to 2014, a responsible party for a federally licensed retail firearms and ammunition business — described as one of the earliest large-scale independent business-to-consumer e-commerce operations in that space. Role in Events
Per the Verified Complaint, Ripley was approached in mid-2025 by Scott Soura and Ken D’Arcy regarding a potential minority investment in the Remington firearms business. He executed a non-disclosure agreement with Roundhill Group LLC in August 2025 and pursued formal acquisition diligence, during which he alleges he incurred substantial costs and provided facility services — equipment relocation from Knoxville, Tennessee and the Sewon Boulevard facility, pallet-racking installation, and internet wiring at the LaGrange Manufacturing Facility — for which he claims to remain substantially unpaid. He further alleges he has personally paid more than $480,000 to other unsecured creditors of the enterprise. (¶¶2, 5.)
Through Rip95 LLC (d/b/a Risk Off Capital, LLC), a Delaware limited liability company he controls, Ripley acquired contractual rights with respect to the senior secured note encumbering the LaGrange facility under a Loan Sale Agreement dated March 26, 2026. (¶8.)
The Verified Complaint states that Ripley planned to present a “fully funded acquisition proposal” — described as one that would pay every unsecured creditor of the enterprise in full — at a publicly noticed town hall in LaGrange on May 7, 2026, which he canceled after Roundhill filed its Delaware action against him the previous day. (¶74.)
